KADOKAWA Global Talent Bank Terms of Use

These Terms of Use (hereinafter referred to as “the Terms”) set forth the conditions for using the Global Talent Bank (hereinafter referred to as “the Service”) provided by KADOKAWA CORPORATION (hereinafter referred to as “the Company”) including compliance requirements and usage polices.

The definitions of terms used in this Terms are as follows:

1. "User" or “Users” refers to individuals who directly register their resumes and other required information through the application form of this Service.
2. "GTP Participating Companies" refer to the Company and its subsidiaries and affiliated companies, including but not limited to the following entities:

1. Users must fully understand and agree to all of the Terms in order to use the Service. Users must comply with these Terms of Use.
2. The Company may establish additional terms, conditions, or compliance requirements related to the Service, which will be presented to the Users. These additional terms shall be incorporated into and apply accordingly.
3. The Company reserves the right to amend these Terms without prior notice to Users. Any amendments will be announced on the Service platform before or witg\hout delay after the changes take effect. The revised Terms shall take effect upon User consent unless:
   1. If the amendments are in the general interests of Users.
   2. If the amendments are reasonable in the light of the purpose of the Service, necessity of the change, and other relevant factors.

1. Users may apply for job openings posted by GTB Participating Companies through the Service.
2. The Service is provided free of charge; however, Users shall bear the costs of necessary devices, internet connectivity and other related expenses.
3. Users are required to provide information designated by the Company when using the Service.

1. Users shall not engage in the following actions when using the Service.
   1. Violation of these Terms
   2. Registering false information on the Service
   3. Using, reproducing, distributing, publishing, editing, modifying, translating, or uploading information obtained through the Service for any purpose other than its intended use.
   4. Impersonating another individual or entity.
   5. Infringing on the intellectual property, privacy, reputation, or other rights of the Company, other Users, or third parties.
   6. Engaging in criminal acts or violating public order and morality.
   7. Using or transmitting malicious software such as computer viruses through the Service.
   8. Developing or providing a service similar to or identical to the Service.
   9. Producing or publishing content related to the Service without authorization.
   10. Interfering with the operation of the Service
   11. Encouraging or assisting in any of the above actions.
   12. Engaging in actions that may fall under any of the preceding items
   13. Engaging in actions deemed inappropriate by the Company.
2. If a User violates these Terms, the Company may immediately terminate the user's use of the Service, and GTB Participating Companies may terminate the User's application process without prior notice. The Company and GTB Participating Companies shall not be liable for any damages incurred by the User as a result of these actions.
3. Users shall be liable for any damages caused to the Company or third parties due to their violation of these Terms.

1. Users may delete their registered information through the designated procedure set by the Company.
2. The Company reserves the right to delete User registered information as necessary for operation reasons, and Users may not object to such deletion.

If a dispute arises between a User and another User or a third party in connection with the use of the Service, the User shall resolve the dispute at their own expense and responsibility. The Company shall bear no responsibility for resolving such disputes.

1. The Company does not guarantee the completeness, availability, reliability, or accuracy of the Service. Registration through the Service does not guarantee employment with GTB Participating Companies.
2. The Company shall not be liable for any damages arising from:
   1. Errors or deficiencies in the information registered by the Users.
   2. Reasons attributable to the User
   3. Communication failures, power outages, or deficiencies in thor party services.
   4. Earthquake, fire, natural disaster or other force majeure events.
   5. Unauthorized access, cyberattacks, or malware infection by third parties
   6. Other reasons similar to the preceding items
3. The Company may temporarily suspend or discontinue the Service at its sole discretion.
4. The Company may modify the contents of the Service without prior notice to Users.
5. The Company shall compensate the User for damage incurred by the User in connection with the use of the Service for reasons attributable to the Company; however, the liability of the Company for such damage shall be limited to direct and ordinary damage as the result of reasons attributable to the Company, and special or indirect damage, lost profits and opportunity loss shall not be compensated, except the event of intentional misconduct or gross negligence.
6. Notwithstanding the preceding paragraph, the Company shall not be liable for any damage incurred by Users due to suspension, discontinuation, or modification of the Service.

1. GTB Participating Companies shall handle the personal information provided by Users in accordance with their respective privacy policies.
2. GTB Participating Companies may use personal information provided by Users through the Service for the following purposes:
   1. Notifications and communications related to the Service and recruitment processes.
   2. Conducting recruitment activities.
   3. Analyzing data to improve recruitment practices.
   4. Conducting surveys related to the Service or recruitment.
   5. Managing employment procedures post-hiring.
3. The Company may use anonymized personal information for statistical analysis purposes.

1. These Terms shall be governed by and interpreted in accordance with the laws of Japan.
2. Any disputes arising from or related to these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
3. The Company may, at its discretion, resolve disputes through arbitration instead of litigation. In such cases, disputes shall be settled in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association. The arbitration shall take place in Tokyo, Japan, with three arbitrators, and the proceedings shall be conducted in Japanese.
